Terms of Service

Welcome to Floating Notes! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Floating Notes ("we", "us", or "our") governing your access to and use of the Service. By using the Service, you accept and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

The terms used in these Terms of Service have the same meanings as defined herein. For terms not defined here, please refer to our Privacy Policy.

1. Definitions

  • The Service: Any website, mobile application, desktop application, and web application made available by Floating Notes.
  • Content: Any text, images, audio, and other data you decide to input, upload, or store in Floating Notes.
  • User: Any individual who accesses or uses the Service.
  • Subscription: A recurring paid plan (weekly, monthly, annual, or other period) that grants access to premium features of the Service.
  • Lifetime Plan: A one-time purchase that grants access to Floating Notes Pro features for the duration of the Service, subject to the terms described in Section 10.
  • In-App Purchase: Any purchase made within the Service through the Google Play In-App Purchase System.

2. Eligibility

Floating Notes is not intended to be used by minors. You may only use the Service if you have reached the legal age of majority in your jurisdiction. By using the Service, you represent and warrant that you meet this eligibility requirement.

3. Privacy

By using the Service, you acknowledge, accept, and agree to our Privacy Policy, which describes how we collect, use, and process your Content and personal information. The Privacy Policy is an integral part of these Terms.

4. Your Content

  • You warrant to Floating Notes that you have the legal right and authority to input and upload the Content you submit to the Service.
  • You grant Floating Notes permission to process, store, display, perform, and distribute your Content solely for the purpose of providing and improving the Service.
  • You grant Floating Notes permission to modify your Content for technical purposes, including but not limited to adapting Content for proper display on different devices or compressing data to optimize network performance.
  • You grant Floating Notes a license to display, perform, modify, store, and distribute any Content you upload that is protected by intellectual property rights. This license is royalty-free, transferable, sub-licensable, worldwide, and remains in effect for as long as the Content is stored within Floating Notes. You also grant Floating Notes the right to make the Content available to third parties with whom Floating Notes has contractual relationships necessary to provide the Service.
  • Floating Notes reserves the right to refuse to accept, store, or display any Content at its sole discretion.
  • You grant Floating Notes the right to permit access to your Content to third parties when necessary to comply with legal obligations.

5. Modifications to the Service

  • Floating Notes reserves the right, at its sole discretion, to modify, update, add, or remove features of the Service at any time in order to improve, maintain, or evolve the Service.
  • We may limit your access to certain features or introduce new limitations at any time. While we will endeavor to provide reasonable notice of significant changes, we are not obligated to do so.
  • You acknowledge that Floating Notes may, as a result of modifications, discontinuation, or technical issues, restrict access to your Content or certain features. In such cases, Floating Notes shall not be liable for any loss or inconvenience resulting from such actions, to the fullest extent permitted by applicable law.
  • You acknowledge that Floating Notes shall not be liable for the loss or deletion of your Content, to the fullest extent permitted by applicable law. You are solely responsible for maintaining backups of your Content.
  • These provisions apply equally to all users, including those who have purchased a Lifetime Plan or any Subscription.

6. In-App Purchases

Floating Notes offers the following products, which can be purchased exclusively through the Google Play In-App Purchase System:

  • Floating Notes Ads Free: A version of the Service without third-party advertisements.
  • Floating Notes Pro Subscription: A recurring subscription granting access to premium features.
  • Floating Notes Pro Lifetime: A one-time purchase granting access to Floating Notes Pro features, subject to the specific terms in Section 10.

By making any In-App Purchase, you agree that:

  • Google Play's terms of service applicable to In-App Purchases will also apply.
  • All billing and transaction processes are handled exclusively by Google Play and are governed by Google Play's terms of service. Any payment-related issues must be directed to Google Play.
  • Subscriptions are automatically renewed and charged at the beginning of each billing period (weekly, monthly, annually, or other applicable period) unless you cancel before the renewal date.
  • Refunds are subject to and governed exclusively by Google Play's refund policies.

7. Advertisements

Floating Notes may display advertisements placed by third-party advertisers in the free version of the Service. For more information about how advertising data is handled, please refer to our Privacy Policy.

  • You agree that Floating Notes is not responsible or liable for any loss or damage resulting from your interaction with any advertisement displayed in the Service.
  • Any commercial transactions or legal obligations arising from your interaction with advertisements are solely between you and the respective advertiser.

8. Floating Notes Ads Free

  • Floating Notes Ads Free provides the same features as the free version of Floating Notes, with the sole difference that no third-party advertisements are displayed.
  • Floating Notes retains the right to inform you about new features, plans, or products offered by Floating Notes. You agree that such communications are not considered third-party advertisements.

9. Floating Notes Pro Subscription

This section applies to subscribers of Floating Notes Pro on a recurring plan (weekly, monthly, or annual):

  • Features: The Pro Subscription grants access to the premium features available in Floating Notes Pro at the time of use. Features may be added, modified, or removed over time as described in Section 5.
  • Data Location: By using the Service, you acknowledge that your Content and personal information may be transmitted through and stored on computer networks and storage systems operated by Floating Notes, its service providers, and other third parties. These systems may be located in the United States and other countries. By using the Service, you consent to the international transfer and storage of your data.
  • Cancellation: You may cancel your Pro Subscription at any time through Google Play. Upon cancellation, you will retain access to Pro features until the end of your current billing period.
  • Closing Your Account: You may close and deactivate your Floating Notes account at any time by contacting us at 424appslab@gmail.com. If you have an active Subscription, you must also cancel it through Google Play.

10. Floating Notes Pro Lifetime Plan

This section applies specifically to users who purchase the Floating Notes Pro Lifetime Plan. By purchasing this plan, you agree to the following terms:

  • Definition of "Lifetime": The term "Lifetime" refers to the operational lifetime of the Floating Notes Service, not the lifetime of the purchaser. The Lifetime Plan grants access to Floating Notes Pro features for as long as the Service continues to operate and the Lifetime Plan product remains available.
  • Scope of Access: The Lifetime Plan grants you access to the Floating Notes Pro features that are available at the time of your purchase and as they exist at any given time thereafter. Floating Notes may modify, update, add, or remove Pro features over time as described in Section 5, and the Lifetime Plan provides access to Pro as it exists in its current form at each point in time.
  • New Products and Premium Features: Floating Notes reserves the right to develop and offer new products, plans, tiers, or premium features that are separate from and not included in the Floating Notes Pro plan. Access to such new products or features may require additional payment or a separate purchase, regardless of your Lifetime Plan status. The Lifetime Plan does not guarantee access to any future products or features beyond the scope of Floating Notes Pro as it exists at any given time.
  • Non-Refundable: The Lifetime Plan is a one-time purchase and is non-refundable, except as required by Google Play's refund policies or applicable law.
  • Non-Transferable: The Lifetime Plan is tied to a single Floating Notes account and cannot be transferred, shared, or assigned to another person or account.
  • Discontinuation of Service: If Floating Notes ceases to operate or the Service is permanently discontinued, the Lifetime Plan will terminate without any obligation by Floating Notes to provide a refund, compensation, or alternative service. You acknowledge that by purchasing the Lifetime Plan, you accept the inherent risk that the Service may be discontinued at any time, and that you have received value from the Service during the period it was available to you.
  • Change of Ownership: In the event that Floating Notes is acquired by, merged with, or transfers its operations to a third party, the acquiring entity may, at its sole discretion, honor, modify, or discontinue the Lifetime Plan. Floating Notes shall not be liable for any changes to the Lifetime Plan resulting from such a transaction.
  • Account Termination: If your account is terminated due to a violation of these Terms, your Lifetime Plan will also be terminated without refund.
  • Data Location: The same data location terms described in Section 9 apply to Lifetime Plan users.

11. Account Termination

  • Floating Notes reserves the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or used the Service in a manner that could harm Floating Notes, other users, or third parties.
  • Upon termination of your account, your right to access the Service and any associated Content will cease immediately. Floating Notes is not obligated to retain or provide access to your Content after termination.
  • If your account is terminated due to a violation of these Terms, any active Subscription or Lifetime Plan will be forfeited without refund.

12. Copyright

All content included in the Service, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Floating Notes or its content suppliers and is protected by international copyright laws. The compilation of all content in the Service is the exclusive property of Floating Notes, and is protected by international copyright laws.

13. Trademarks

Floating Notes trademarks and trade dress may not be used in connection with any product or service that is not Floating Notes, in any manner likely to cause confusion among customers, or in any manner that disparages or discredits Floating Notes. All other trademarks not owned by Floating Notes that appear in the Service are the property of their respective owners.

14. Applicable Law and Disputes

By using the Service, you agree that these Terms shall be governed by and construed in accordance with the laws of Spain, without regard to principles of conflict of laws. Any dispute arising from or related to these Terms or the Service shall be submitted to the jurisdiction of the courts of Spain. You consent to the exclusive jurisdiction and venue of the Spanish courts for the resolution of any such disputes.

15. Modifications to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the Service or by other appropriate means. Your continued use of the Service after such notification constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must discontinue your use of the Service.

16. Limitation of Liability and Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. FLOATING NOTES MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED IN THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  • FLOATING NOTES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
  • FLOATING NOTES DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ALL ERRORS WILL BE CORRECTED.
  • FLOATING NOTES DOES NOT WARRANT THAT THE SERVICE, ITS SERVERS, OR COMMUNICATIONS SENT FROM FLOATING NOTES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  • FLOATING NOTES SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES.

YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Floating Notes with respect to the Service, and supersede all prior agreements and understandings.
